What Are Management Teams?

Module 4 · Company Management · Lesson 2

How to Research a Company’s Management Team

A company’s leaders make decisions about operations, cash, pay, and risk. Public filings can help you examine those decisions with evidence.

Quick answer

How can you assess a management team?

Use the annual report and proxy statement to identify executives and directors, their responsibilities, compensation, ownership, and board oversight. Compare stated plans with later results. No single leader, pay figure, or insider trade proves whether a stock is a good investment.

What do executives and directors do?

Executives run the business day to day. The board of directors oversees management and represents shareholders’ interests through duties such as selecting leadership and reviewing major policies. A chief executive’s public statements may be useful, but the board, chief financial officer, and operating leaders matter too. Read the company’s own disclosures to see who holds each role.

Which filings show leadership and governance?

A Form 10-K annual report describes the business, risks, management discussion, and audited financial statements. Some leadership and governance details appear there; companies may incorporate other details from their definitive proxy statement, often filed as DEF 14A. The proxy commonly describes director elections, board committees, executive compensation, ownership, and shareholder votes. Use the latest filing and check its date.

How do you examine executive pay?

Read the proxy’s compensation discussion and tables. Note salary, cash incentives, stock awards, performance conditions, vesting, and how the board explains its decisions. A large award alone does not establish good or bad management. Ask whether the stated incentives and realized outcomes appear consistent with the company’s long-term results and risks.

What can insider ownership and transactions tell you?

Ownership can show that a leader has an economic stake in the company. SEC Forms 3, 4, and 5 disclose certain insiders’ holdings and transactions. A sale may have many explanations, including taxes, diversification, or a preset plan. Read the transaction code and footnotes before drawing any inference, and avoid treating a single trade as a buy or sell signal.

How can you test whether stated plans matched results?

Choose one measurable company goal mentioned in a past annual report or shareholder letter. Then compare it with later filings using the same metric and period. Record what changed, what management explained, and what remains uncertain. Also compare risks discussed in earlier and later reports. This is more useful than assigning a simple score based on a speech or reputation.

What should raise a follow-up question?

Restated financial statements, rapid leadership turnover, related-party transactions, and compensation that appears disconnected from disclosed results can warrant further review. Each has its own context. A filing, audit report, or company explanation is needed before reaching a conclusion; none is an automatic instruction to sell.

Apple: work out the CEO pay ratio for 2025

FY2025 compensation, disclosed in the proxy filed January 8, 2026.

Apple CEO Pay Ratio—2025 disclosure, proxy page 62.
Input or resultAmount
CEO annual total compensation$74,294,811
Median employee annual total compensation$139,483
Calculated ratio (rounded)533 to 1
  1. Locate the CEO Pay Ratio—2025 section rather than mixing figures from another year.
  2. Divide the two annual total-compensation figures: $74,294,811 ÷ $139,483 = 532.64 (rounded).
  3. Round to a whole ratio: approximately 533 to 1, matching the company’s disclosure.

The inputs are total compensation, not salary alone or cash received during the year. The proxy describes estimates and the employee-selection method; different company methods limit comparisons. This ratio alone does not determine whether management is effective.

Check your understanding

1. Where would you normally look for executive compensation details?
A. The company’s definitive proxy statement. B. A chart’s candle color. C. The ticker symbol alone.

Show answer and feedback

A. The proxy provides compensation disclosures and often explains the criteria used by the board.

2. An executive sells shares on Form 4. What does that prove?
A. The stock will fall. B. A reported transaction occurred, but its reason needs context. C. The CEO has resigned.

Show answer and feedback

B. Review transaction codes and footnotes; a sale alone does not establish a future price move or motive.

3. What is a useful way to review management’s claims?
A. Compare a past stated goal with later reported results. B. Rely only on a quote. C. Assume a high salary proves success.

Show answer and feedback

A. Comparing the same metric and period across filings gives the claim a testable context.

Why question: Why might a board committee’s role matter when assessing a management team?

Show a sample explanation

Committees oversee areas such as audit and compensation. Their composition and stated responsibilities help explain how leaders are supervised.

Find Apple’s management disclosures

Open the SEC EDGAR search prefilled for Apple. Find its latest Form 10-K and definitive proxy (DEF 14A). Record one named executive, one board committee, and one compensation measure. Include each filing’s date. This is a research exercise, not a judgment on Apple shares.

Where can you check the filing rules and terms?
